Welcome to the Nightly Notary LLC website (“Site”). This Site is owned and operated by Nightly Notary LLC. By accessing or using this Site in any capacity, you agree to be legally bound by this Agreement.

This Agreement includes these Terms and Conditions, the Privacy Policy, and any additional terms or rules posted in connection with promotions, special offers, or services, collectively referred to as the “Agreement.”

Your use of the Site, including browsing, registering an account, booking a service, or otherwise engaging with any part of the platform, constitutes your full acceptance of this Agreement. If you do not agree with these terms, you must discontinue use of the Site.

Nightly Notary LLC reserves the right to update, modify, or revise this Agreement at any time without prior notice. Changes will take effect immediately upon being posted on the Site or upon notification to you, whichever occurs first. You are responsible for reviewing the Agreement periodically to stay informed of any updates.

Electronic Communication & Signature Consent

By conducting business with Nightly Notary LLC electronically, you agree to the following:

  • Consent to Electronic Communications: You consent to receive all communications, agreements, notices, and disclosures electronically via email or through notices posted on the Site.

  • Electronic Signature: By clicking to accept this Agreement, scheduling services, or submitting any form through the Site, you acknowledge that your action constitutes a legally binding electronic signature and acceptance of this Agreement and our Privacy Policy.

You agree to use this Site in accordance with all applicable local, state, and federal laws. Any unauthorized use of the Site, its systems, or its content is strictly prohibited and may result in civil or criminal liability.

NOTICE: Arbitration Agreement and Class Action/Jury Trial Waiver

Please read this Agreement carefully. It contains a binding arbitration provision and a waiver of your rights to participate in class actions and jury trials. By accessing or using the Nightly Notary LLC website (“Site”), you acknowledge and agree to the terms set forth below.

You agree that any dispute, claim, or controversy arising out of or relating to your use of this Site or any services provided by Nightly Notary LLC shall be resolved exclusively through individual binding arbitration, rather than in court. You further agree to the following:

  • You waive the right to a trial by jury.

  • You waive the right to participate in any class action, class arbitration, or consolidated proceeding.

  • You may not bring any claim as a plaintiff or class member in any purported class, collective, or representative proceeding, including in a private attorney general capacity.

Definitions

For the purposes of this Agreement, including the Terms and Conditions, Refund Policy, and all related legal notices, the following definitions apply:

  • “Agreement” refers to this entire Terms and Conditions document, including any incorporated policies such as the Refund Policy, Privacy Policy, and any additional terms posted or referenced on the Site.

  • “Site” refers to the Nightly Notary LLC website, including all associated domains, subdomains, web pages, and online platforms where Nightly Notary LLC content or services are made available.

  • “Nightly Notary LLC” refers to the legal business entity providing notarial services, apostille facilitation, document handling, and related services, including its agents, affiliates, contractors, and representatives.

  • “User,” “you,” or “your” refers to any natural person or entity who accesses, visits, browses, registers with, or uses the Site or its services in any way.

  • “Notarial Act” means any official act performed by a commissioned notary public in accordance with Texas law, including acknowledgments, jurats, oaths, affirmations, and copy certifications.

  • “Remote Online Notarization (RON)” refers to a notarization conducted via live audio-video communication, in accordance with Texas Government Code Chapter 406 and 1 Texas Administrative Code Chapter 87.

  • “Apostille Services” refers to the facilitation of authentication or apostille certification of documents for international use, which may include handling, shipping, or submission of documents to state or federal authorities.

  • “Client” refers to any individual or entity receiving or attempting to receive services from Nightly Notary LLC, whether via booking, walk-in, or remote appointment.

  • “Referral Program” refers to the incentive-based program offered by Nightly Notary LLC whereby Users may refer new clients in exchange for promotional discounts under defined terms.

  • “Review” refers to any testimonial, feedback, star rating, written comment, or evaluation posted by a User on Nightly Notary LLC’s site or third-party platforms.

  • “Personally Identifiable Information (PII)” means information that identifies, relates to, describes, or can be used to identify a specific individual, including but not limited to name, address, phone number, email address, Social Security number, or government-issued ID.

  • “Copyright Material” refers to any text, graphics, images, audio, video, logos, code, forms, or documents protected under copyright law and owned or licensed by Nightly Notary LLC.

  • “Intellectual Property” includes all copyrights, trademarks, trade names, logos, service marks, trade secrets, proprietary information, know-how, patents, and any other form of intellectual property recognized under applicable law.

  • “Force Majeure” refers to events or circumstances beyond the reasonable control of Nightly Notary LLC that prevent or delay performance of obligations, including natural disasters, government actions, internet outages, illness, and courier disruptions.

  • “Indemnified Parties” refers to Nightly Notary LLC and its owners, officers, employees, contractors, affiliates, successors, assigns, and representatives who are protected from liability under indemnification clauses.

  • “Binding Arbitration” refers to the legally enforceable process through which disputes are resolved privately and finally, in accordance with the Commercial Arbitration Rules of the American Arbitration Association.

  • “Class Action Waiver” means the provision that prohibits Users from joining or consolidating claims in arbitration or litigation, and from participating in a class or representative action against Nightly Notary LLC.

  • “Submission” refers to any idea, content, message, or material voluntarily provided to Nightly Notary LLC by a User, including feedback, proposals, suggestions, or unsolicited creative content.

  • “Promotion” or “Offer” refers to any time-limited or conditional discount, incentive, or benefit offered by Nightly Notary LLC, including referral discounts or seasonal price reductions.

  • “Service Appointment” means a scheduled time and method (in-person or remote) at which a notarial act, document service, or consultation is to be performed by Nightly Notary LLC.

  • “Account” refers to a registered user profile created through the Nightly Notary LLC Site, including login credentials, stored booking history, and communication preferences.

Mandatory Individual Arbitration

You agree that any dispute or claim with Nightly Notary LLC—including but not limited to those arising out of or related to this Agreement, the Site, or any services provided—will be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

  • Arbitration will take place in Dallas County, Texas.

  • Judgment on any arbitration award may be entered in the courts of Dallas County, Texas.

  • Arbitration will be conducted on a confidential, individual basis.

You further irrevocably waive:

  • The right to a jury trial; and

  • The right to bring or participate in any class, collective, or representative action.

Pricing and Payment Terms

All prices for services provided by Nightly Notary LLC are subject to change without prior notice. The price charged for a service will be the price in effect at the time your service request is submitted. Price increases will only apply to service requests made after the new prices take effect. Nightly Notary LLC reserves the right, at our sole discretion, to refuse service to anyone for any reason.

 

Accurate Booking & Payment Responsibility

Fees are calculated based on the number of documents, notarial acts, witnesses, or services disclosed by the client prior to the appointment. If the actual number of signatures or notarizations is lower than what was quoted due to incomplete documents, missing signers/witnesses, or a change of mind, the original quoted amount may still apply to cover the notary’s reserved time, preparation, and travel. Partial refunds will only be considered at the sole discretion of Nightly Notary LLC when services are not performed due to factors within our control.

Payment terms are determined solely by Nightly Notary LLC and, unless otherwise agreed upon in writing, full payment must be received before we accept and process your order. By submitting your payment information, you represent and warrant that: (i) the credit or debit card or bank account information you provide is accurate, complete, and current, (ii) you are authorized to use the specified payment method, (iii) charges incurred by you will be honored by your credit card company or bank, and (iv) you will pay all charges incurred at the rates in effect when the charges are incurred, including any applicable taxes.

Refunds

  • Refunds are only issued in cases of:

    • Overpayment

    • Canceled appointments with 24+ hours’ notice

    • Service refusal due to Notary Error or Scheduling Conflict caused by the Notary

Notary Error â€‹

If the notary makes a mistake that prevents the notarization from being legally valid or complete, such as:

  • Forgetting to bring a notary seal or journal.

  • Failing to properly identify the signer before beginning the notarization.

  • Using incorrect or expired notary credentials.

  • Omitting required elements such as acknowledgments or jurats.

 

​Scheduling Conflict caused by the Notary

If the notary is unable to attend the scheduled appointment due to:

  • Overlapping appointments or double-booking by mistake.

  • Personal emergencies, illness, or unexpected unavailability.

  • Traffic or delays that would cause the notary to be more than 30 minutes late without prior communication which could include text, call, or email.

In these instances, Nightly Notary LLC will:

  • Offer to reschedule the appointment at no additional cost, or

  • Provide a full refund if the client no longer wishes to proceed or cannot reschedule.

​

No refund is given for failure to provide valid ID, incomplete documents, or technical issues on the client’s end during online notarizations.

Referral Program Terms

Nightly Notary LLC offers a referral program through which existing clients ("Referring Members") can earn a 10% discount on a future service by referring a new client ("Referred Friend") to the website.

​

Program Requirements

  • The Referring Member must submit a valid referral form through the designated channel.

  • The Referred Friend must:

    • Register on the Nightly Notary LLC website,

    • Create an account, and

    • Successfully complete and pay for their first eligible transaction.

​

Reward Structure

  • Upon the Referred Friend’s successful completion of their first transaction:

    • The Referred Friend will receive a 10% discount immediately applied to that first transaction.

    • The Referring Member will receive a 10% discount applied to their next qualifying appointment.

​

Additional Terms

  • Referral discounts cannot be combined with any other offers, promotions, or coupon codes.

  • Discounts are non-transferable and have no cash value.

  • Nightly Notary LLC reserves the right to modify, suspend, or terminate the referral program at any time without prior notice.

  • Any fraudulent activity, including false referrals or misuse of the program, may result in disqualification from participation and termination of account access.

Guidelines for Reviews

Nightly Notary LLC reserves the right to accept, reject, edit, or remove any review at its sole discretion. While we may moderate user-submitted reviews, we are under no obligation to screen or remove content—even if a review is deemed objectionable or inaccurate by others.

Reviewer Responsibilities

By submitting a review on the Nightly Notary LLC website, you agree to the following guidelines:

  • You must have direct, personal experience with the person, service, or entity being reviewed.

  • Reviews must not contain:

    • Offensive, profane, abusive, racist, or hateful language;

    • Discriminatory remarks based on race, religion, gender, age, sexual orientation, marital status, national origin, or disability;

    • References to illegal activity.

  • Reviewers must not:

    • Be affiliated with direct competitors of Nightly Notary LLC if posting negative reviews;

    • Assert legal conclusions or accusations about the conduct of others;

    • Post knowingly false or misleading statements;

    • Participate in coordinated campaigns to post positive or negative reviews.

Disclaimer and Editorial Rights

  • The views expressed in reviews are those of the individuals who post them and do not represent the views, positions, or endorsements of Nightly Notary LLC, its affiliates, or partners.

  • Nightly Notary LLC is not liable for any content contained in a review, nor for any resulting claims, damages, or losses.

 

License to Use Review Content

By posting a review, you grant Nightly Notary LLC a non-exclusive, irrevocable, perpetual, worldwide, royalty-free, fully paid, assignable, and sublicensable license to use, reproduce, modify, adapt, translate, transmit, publicly display, publicly perform, and distribute the review and all related content, in any medium now known or later developed.

Third-Party Review Platforms

If you post a review on any third-party site (e.g., Google, Yelp), you are strictly prohibited from:

  • Misrepresenting yourself as an employee, agent, or representative of Nightly Notary LLC, or

  • Implying any formal association with Nightly Notary LLC.

Violation of this policy may result in the termination of your account or access to services.

Account Security and Password Responsibility

You are responsible for maintaining the confidentiality of your account credentials, including your password. You agree not to share, distribute, or allow unauthorized access to your account by any other person. You accept full responsibility for all activities that occur under your account, whether or not authorized by you.

Your password serves as the key to accessing your personal information and services provided on this site. Any communication transmitted through this website (including emails, forms, or message boards) should be considered unencrypted and potentially insecure unless we explicitly indicate that the specific page or communication method is secured or encrypted.

Nightly Notary LLC is not liable for any unauthorized access resulting from your failure to maintain the security of your login information.

Right to Refuse or Terminate Service

Nightly Notary LLC reserves the right, at its sole discretion, to refuse or terminate services to any individual or entity at any time, with or without cause and without prior notice. This includes, but is not limited to, situations involving:

  • Violation of these Terms and Conditions

  • Disruptive, abusive, or unsafe behavior

  • Failure to provide required identification or documentation

  • Suspected fraud, coercion, or unlawful activity

  • Attempts to pressure or influence the notary to act outside the scope of the law

Refusal or termination of service may occur before, during, or after a scheduled appointment if any conduct or circumstances arise that compromise the legal, ethical, or safety standards of the notary or the company.

License to Use the Site

Subject to the terms of this Agreement, Nightly Notary LLC grants you a limited, non-exclusive, non-transferable, and non-sublicensable license to access and use this website, including any software, content, or documentation owned by or licensed to Nightly Notary LLC—solely for the purpose of browsing, interacting with, and utilizing the site’s services in real time, in accordance with these Terms and all applicable laws.

You may not copy, reproduce, modify, distribute, sell, or exploit any part of the Site or its content for commercial purposes without prior written permission.

Intellectual Property Rights in the Site

All content, designs, logos, trademarks, text, graphics, software, plans, specifications, documentation, and data available on or through this Site are the property of Nightly Notary LLC or its licensors and are protected by applicable intellectual property laws, including the U.S. Copyright Act of 1976.

Unauthorized use, reproduction, distribution, modification, or duplication of any portion of the Site, whether in whole or in part, is strictly prohibited unless expressly authorized in writing by Nightly Notary LLC. Copyrights

Unless otherwise stated, Nightly Notary LLC owns all copyright interests in and to this Site and is the owner or licensee of all content contained herein, including but not limited to all “works” as defined under the Copyright Act of 1976. This includes text, graphics, logos, images, audio and video materials, audiovisual elements, downloadable documents, and other content in any media format, whether currently existing or developed in the future (“Copyright Material”).

The Copyright Material is protected by United States and international copyright laws.

You may view, display, or download portions of the Site solely for your personal, non-commercial use, provided that you do not modify the content and you retain all proprietary notices and copyright acknowledgments.

We expressly disclaim all warranties, including but not limited to:

  • Implied warranties of merchantability and fitness for a particular purpose.

Specific Disclaimers

    • Notarial wording, certificate pads, or notary stamps comply with requirements outside of Texas or under newly updated laws.

    • Any particular institution, agency, or country will accept your documents.

  • Online notarizations rely on third-party platforms, internet connectivity, and verification systems. We are not responsible for client-side issues, such as device incompatibility or connectivity failures.

  • Apostille services are handled based on the information and documents provided by the client. We are not liable for delays, rejections, or errors caused by the Secretary of State, U.S. Department of State, foreign consulates, mail services, or inaccurate client submissions

  • Platform errors, video interruptions, or failed remote notarization sessions

  • Any reliance placed on informational content provided on this site

Under no circumstances shall Nightly Notary LLC be liable for any indirect, incidental, punitive, or consequential damages, including but not limited to:

  • Loss of profits

  • Loss of data

  • Personal injury

  • Business interruption

Maximum Liability: In any event, Nightly Notary LLC’s total liability shall not exceed the amount paid by the client for the specific service in question.

Apostille and Document Handling Services

​

Nightly Notary LLC facilitates apostille and authentication services but cannot guarantee delivery timeframes or acceptance by third parties. We are not responsible for:

  • Delays caused by the Secretary of State, mail carriers, courier services, or consulates.

  • Misdelivery or loss by third-party delivery services.

  • Rejection of documents by foreign authorities for reasons unrelated to the notarial act.

Document Storage and Access

Nightly Notary LLC is committed to maintaining the security, confidentiality, and integrity of client documents and data in compliance with Texas notary laws and best business practices. The following outlines how documents and records are stored and protected:

Physical Notarial Records​

For in-person notarizations, physical notary journals and associated records are:

  • Maintained in a secure, locked location accessible only by the commissioned notary.

  • Retained for the longer of the term of the commission in which the notarization occurred or three years, as required by 1 Texas Administrative Code § 87.54(a).

  • Never shared with third parties unless required by law or subpoena.

Document Storage for In‑Person Notarizations - We do not keep or store copies of your documents, only the notarial act is recorded. Any documents you provide are returned to you or the customer at the time of service.

​

Online Notarization Records​

​For Remote Online Notarizations (RON), all sessions and electronic journals are:

  • Securely stored using a state-approved technology platform that meets encryption, access control, and storage compliance standards.

  • Maintained for a minimum of five years following the date of notarization, as required by 1 Texas Administrative Code § 87.54(b).

  • Protected using multi-layered security protocols including password-protected access, audit trails, and encrypted backup systems.

Apostille and Client Documents​

​Documents submitted for apostille processing or related services are:

  • Handled with care and confidentiality during the preparation, mailing, or courier process.

  • Not retained by Nightly Notary LLC once the service is completed, unless otherwise agreed upon in writing.

  • Returned to the client or forwarded as instructed, using secure mailing methods when applicable.

Confidentiality and Non-Disclosure​

​All client documents and information are treated as confidential and are not disclosed to any third party, except:

  • When required by law, court order, or subpoena;

  • To authorized platforms solely for the execution of services (e.g., online notarization providers);

  • With the express written consent of the client.​

Nightly Notary LLC takes privacy and data security seriously and implements appropriate administrative, technical, and physical safeguards to prevent unauthorized access, alteration, disclosure, or destruction of client information.

​

Governing Law, Jurisdiction, & Venue; Arbitration

All access to or use of the Nightly Notary LLC website (“Site”), and any services, content, or transactions offered through it, shall be governed by and construed in accordance with the laws of the State of Texas and the United States of America, without regard to any conflict of law principles.

​

Any dispute, claim, or controversy arising out of or relating to this Agreement, the use of the Site, or any services provided by Nightly Notary LLC—including but not limited to contract, tort, statutory, and equitable claims—shall be resolved exclusively by final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. Arbitration shall be held in Dallas County, Texas, and judgment upon the award rendered may be entered in, and enforced by, any court of competent jurisdiction located exclusively in Dallas County, Texas.

 

You irrevocably consent to the exclusive jurisdiction and venue of such courts for any actions related to the enforcement, review, or confirmation of an arbitration award, and you waive any right to challenge that venue as inconvenient or improper for any reason.​
 

The arbitration proceedings shall be conducted on a strictly confidential basis. The arbitrator shall be required to issue a written decision including findings of fact and conclusions of law. All records, documents, and communications related to the arbitration shall remain confidential and shall not be disclosed to any third party, except as required by law or as necessary to enforce or comply with the arbitration decision (including to legal counsel, tax professionals, or regulatory agencies as needed).

General Submissions

Nightly Notary LLC welcomes general feedback regarding its services. However, in accordance with company policy, we do not accept or consider unsolicited creative ideas, suggestions, proposals, or materials, including but not limited to concepts for new products, services, marketing strategies, or business models (“Submissions”), unless specifically requested by Nightly Notary LLC in writing.

If, despite this policy, you choose to submit any content to Nightly Notary LLC, whether at our request or on your own initiative, you hereby irrevocably assign and transfer to Nightly Notary LLC, without compensation, all rights, title, and interest throughout the universe in and to such Submissions. This includes, without limitation:

  • All copyright rights (domestic and foreign)

  • Trademark rights (and related goodwill)

  • Patent rights

  • Trade secret rights

  • Moral rights (which you hereby irrevocably waive to the fullest extent permitted by law)

  • All other intellectual property and proprietary rights, whether existing now or arising in the future

Nightly Notary LLC shall have the unrestricted right to use, reproduce, modify, distribute, display, or otherwise exploit any such Submission for any purpose, commercial or otherwise, without acknowledgment, attribution, or compensation to the sender.

Indemnification

ou agree to defend, indemnify, and hold harmless Nightly Notary LLC, its subsidiaries, affiliates, successors, and assigns, as well as its past, present, and future officers, directors, employees, managers, members, partners, shareholders, owners, contractors, agents, attorneys, representatives, and insurers (collectively, the “Indemnified Parties”), from and against any and all claims, liabilities, damages, losses, demands, actions, causes of action, costs, and expenses (including reasonable attorneys’ fees), arising out of or relating to:

  1. Your actual or alleged breach of these Terms and Conditions;

  2. Your actual or alleged negligent, willful, or unlawful acts or omissions in connection with your registration, access, or use of this site or any Nightly Notary LLC services.

The Indemnified Parties reserve the right, at their sole discretion, to participate in the defense or settlement of any claim. You may not agree to any settlement that imposes any obligation or liability on an Indemnified Party without their prior written consent.

Site Usage Policy

By accessing and using this website, you agree to comply with all applicable laws and the terms set forth in this Site Usage Policy. This site is intended solely for lawful use. Any use of the site that involves the transmission, storage, distribution, or display of information or material that violates local, state, federal, or international law, or this policy, is strictly prohibited.

Prohibited Activities Include, but Are Not Limited To:

  • Unauthorized reproduction, publication, distribution, or exploitation of copyrighted works, trademarks, patents, trade secrets, or other protected intellectual property.

  • Sharing, exporting, or disseminating restricted materials or data in violation of U.S. Export Control Regulations.

  • Transmitting or distributing content that is harmful, harassing, threatening, abusive, fraudulent, defamatory, or that infringes upon the legal rights of others.

  • Using the site to promote, facilitate, or engage in unlawful conduct, including harassment, identity theft, stalking, fraud, or abuse.

  • Interfering with the operation, integrity, or security of the site, including attempts to probe, scan, or test system vulnerabilities.

  • Engaging in conduct that violates any applicable law, regulation, or rule—whether local, state, federal, or international.

Nightly Notary LLC reserves the right to monitor, investigate, and log site usage activity in accordance with applicable law. We also reserve the right to restrict, suspend, or permanently terminate access to our services if a user is found to be in violation of this policy.
